1. Acceptance of Terms

By accessing or using the Ask Averie platform, website (askaverie.com), or services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Ask Averie is operated by KeenDigital ("Company," "we," or "us").

2. Description of Service

Ask Averie is an AI-powered receptionist service that automates inbound calls, scheduling, and customer interactions using Large Language Models (LLMs) and Voice Synthesis.

"Magic Setup" & Scraping

You grant us permission to access and scrape public data from the website URL you provide during onboarding. You represent and warrant that you own said website or have explicit permission to allow us to process its data.

AI Limitations

You acknowledge that the Service uses Artificial Intelligence. AI may occasionally produce "hallucinations" (incorrect information) or misinterpret caller intent. Ask Averie is not liable for missed appointments, incorrect pricing quotes given to callers, or misunderstandings caused by the AI.

3. Call Recording & Legal Compliance

Your Responsibility

Ask Averie records calls to process transcripts and improve agent performance. Laws regarding the recording of telephone calls vary by jurisdiction (e.g., "Two-Party Consent" states).

Consent

You agree that you are the sole party responsible for ensuring compliance with all applicable local, state, and federal laws regarding call recording. This may include playing a pre-recorded announcement to callers stating, "This call may be recorded for quality assurance."

Indemnification

You agree to indemnify and hold Ask Averie harmless from any claims, lawsuits, or damages arising from your failure to notify callers that they are being recorded.

4. Accounts & Registration

A2P 10DLC Compliance

By using our telephony services, you authorize us to register your business brand and campaign with mobile carriers (T-Mobile, AT&T, etc.) for A2P 10DLC compliance. You agree to provide accurate Tax ID (EIN) and business address information for this purpose.

Account Security

You are responsible for maintaining the confidentiality of your login credentials.

5. Payments, Refunds & Cancellations

• Subscription Fees: Services are billed in advance on a monthly or annual basis via Stripe.
• 30-Day Money-Back Guarantee: If you are not satisfied with the Service, you may request a full refund of your subscription fees within 30 days of your initial sign-up.
• Non-Refundable Fees: The $49 One-Time Setup Fee is paid to third-party carriers for brand vetting and is strictly non-refundable under any circumstances.
• Overages: Voice usage exceeding your plan's allowance (e.g., 60 minutes on Solo) will be billed automatically at the specified overage rate ($0.55/min or $0.35/min).
• Cancellation: You may cancel anytime via the Dashboard. Your service will continue until the end of the current billing cycle.

6. User Conduct & Prohibited Use

You agree not to use Ask Averie to:

• Make outbound robocalls, spam calls, or "cold calls" (Telemarketing).
• Impersonate another person or entity.
• Collect sensitive data (SSN, Credit Cards) unless explicitly authorized via our secure, PCI/HIPAA-compliant workflows (Growth Plan only).
• Harass, threaten, or defraud callers.

7. Limitation of Liability

To the maximum extent permitted by law, Ask Averie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:

• Your use or inability to use the Service.
• Any conduct or content of any third party on the Service.
• Any errors or inaccuracies in the AI's responses to your callers.

8. Governing Law

These Terms shall be governed by the laws of the State of Texas, without respect to its conflict of laws principles. Any claims or disputes shall be resolved in the state or federal courts located in Williamson County, Texas.
